Terms of service

Last revised April 29, 2026. By using Empora Title services you enter a legally binding agreement with Empora Title, located at 9450 SW Gemini Dr, Beaverton, OR 97008-7105.

1. Basic terms

You must be able to form binding contracts to use our services and are barred if prohibited by US law. Users under 18 cannot access our services. All use must comply with applicable laws. Empora Title reserves the right to modify or discontinue services without notice and may limit use and storage at its discretion.

2. Privacy

Information you provide is subject to our Privacy policy (incorporated by reference). You consent to collection, use, and transfer of information to the United States and other countries. We may send service announcements and administrative messages that you cannot opt out of. Users who send third-party invitations represent that the recipient requested to join and that invitations comply with applicable law.

3. Content on the services

Empora Title does not verify the accuracy of information. You assume all risk from reliance on services content. You may encounter offensive or inaccurate content. Empora Title holds no liability for any posted, transmitted, or broadcast content.

4. Empora Title rights

All right, title, and interest in the services and content remain Empora Title's exclusive property, protected by copyright and trademark law. We retain all rights not expressly granted and may freely use user feedback without obligation.

5. Restrictions on use

You cannot:

  • Access non-public areas or tamper with our systems.
  • Probe or test system vulnerabilities.
  • Access services through unauthorized means (scraping is prohibited).
  • Forge packet headers or send false-source information.
  • Interfere with service access through viruses, flooding, spamming, or scripting.

6. Ending these terms

You may deactivate your account and discontinue use by contacting (614) 407-7969. Deactivation does not relieve payment obligations. Empora Title may suspend or terminate accounts if you violate these terms, create legal risk, or if providing services is no longer commercially viable. We'll send reasonable notice to your associated email.

7. Disclaimers, limitations of liability, and indemnity

Services provided “AS-IS”

Services are provided “AS IS” and “AS AVAILABLE.” Empora Title disclaims all warranties, express, implied, statutory, or otherwise. We make no warranty regarding meeting your requirements, uninterrupted operation, intended results, compatibility, security, accuracy, completeness, harmful code, or error-free operation.

Specific disclaimers cover: actions of workshare partners; third-party content; completeness, accuracy, availability, timeliness, security, or reliability; harm to computer systems or data loss; deletion or transmission failure of content; uninterrupted or secure service; and advice or information received. No advice or information, whether oral or written, obtained from Empora Title or through the services, will create any warranty not expressly made herein.

Services may contain third-party links. Empora Title is not responsible for the availability, accuracy, or content of linked services. Links do not imply endorsement. You assume all risk from third-party services.

Limitation of liability

To the maximum extent permitted by applicable law, Empora Title shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or intangible losses arising from: access or inability to access the services; content obtained; or unauthorized access or alteration of transmissions.

Aggregate liability shall not exceed the greater of $100 USD or amounts paid in the past six months for the services. These limitations apply to any liability theory, whether warranty, contract, statute, or tort, and apply even if Empora Title was informed of possible damages.

Indemnification

You agree to indemnify and hold harmless Empora Title from third-party claims, charges, and investigations related to: (1) your failure to comply with this agreement; (2) your failure to opt out of marketing messages after discontinuing phone-number use; and (3) any activity on the services.

8. Mobile messaging

By accepting these terms you authorize Empora Title to send text messages to provided phone numbers regarding your use of the services. You may opt into Marketing Messages for autodialed or prerecorded marketing messages. Message and data rates may apply.

To opt out, reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT. You may receive a confirmation. These are the only valid opt-out methods. Texting other words or verbally requesting removal is not a valid opt-out. You must complete opt-out before discontinuing use of your phone number — if you discontinue the use of your mobile telephone number without notifying us, you agree that you will be responsible for indemnifying us.

For text message support, text HELP to the originating number or email info@emporatitle.com. Email is not a valid opt-out method.

9. Payment functionality

You must open a Dwolla Account through Dwolla, Inc. and accept Dwolla's Terms of Service and Privacy Policy. Funds held or transferred through Dwolla Accounts are managed by Dwolla's financial institution partners. You must be at least 18 years old. Empora Title collects and shares your personal information (full name, email address, financial information) with Dwolla. You access and manage your Dwolla Account through our application, with notifications sent by Empora Title, not Dwolla. 10. Escrow account deposits

Empora Title uses Plaid to verify bank accounts before ACH processing. Information shared with Plaid is treated per Plaid's privacy policy.

11. General terms, waiver, and severability

Failure to enforce any provision does not waive that provision. Invalid or unenforceable provisions will be limited or eliminated minimally, with remaining provisions remaining in full force.

Controlling law and jurisdiction

These terms and related actions are governed by Oregon law without regard to conflict-of-law provisions. All claims, proceedings, or litigation arise in federal or state courts in Washington County, Oregon, US. You consent to jurisdiction and venue there and waive inconvenient forum objections. You may only bring individual claims, not class actions.

Entire agreement

These terms and the privacy policy are the entire and exclusive agreement regarding the services (excluding separate service agreements). They supersede and replace any prior agreements. Empora Title may revise these terms. Material revisions trigger an email notification. If you do not wish to accept revisions you must end the agreement per Section 6. Continued access after revisions become effective means acceptance of the revised terms.
